These Terms of Service (“Terms”) govern your access to and use of lithinos.us and any content, forms, or features on it (the “Site”). The Site is operated by Lithinos Inc., a Florida corporation (“Lithinos,” “we,” “us,” or “our”).

1. What the Site is

The Site describes marketing and go-to-market services that Lithinos offers to startups, founders, accelerators, and similar organizations. All content on the Site is provided for general informational purposes. It is not an offer to contract, and it does not constitute legal, financial, investment, tax, or other professional advice.

2. Consultations and engagements

Submitting the consultation form, scheduling a call, or speaking with us does not create a client relationship, a partnership, a joint venture, or any obligation for either of us to proceed.

Any engagement between you and Lithinos begins only when both parties sign a separate written agreement — such as a proposal, statement of work, or master services agreement — describing the services, fees, and deliverables. If anything in that signed agreement conflicts with these Terms, the signed agreement controls with respect to that engagement.

3. No guarantee of results

Marketing and go-to-market outcomes depend on many factors outside our control, including your product, market, pricing, team, timing, funding, and execution. Lithinos does not guarantee any particular result, including any level of customers, revenue, growth, traffic, leads, conversion, funding, press coverage, or acceptance into any accelerator or program.

Any examples, descriptions of past work, or statements about typical approaches on the Site are illustrative only and are not a promise or prediction of the results you will achieve.

4. Third-party names and affiliations

Third-party names, marks, and logos that appear on the Site are the property of their respective owners and are used to describe relationships or context only. Their appearance does not imply that any third party endorses, sponsors, or guarantees our services, or that we act on their behalf.

5. Information you submit

When you submit information through the Site, you agree that it is accurate and that you have the right to provide it. You consent to our contacting you at the email address you provide in response to your inquiry.

Do not submit confidential, proprietary, or sensitive information through the Site's form or by unencrypted email. Absent a signed non-disclosure agreement, we treat information you send us before an engagement as non-confidential. We handle personal information as described in our Privacy Policy.

6. Intellectual property

The Site and its content — including text, design, layout, graphics, and the Lithinos name and logo — are owned by Lithinos or its licensors and are protected by copyright, trademark, and other laws. You may view and print the Site's content for your own internal, non-commercial evaluation. You may not otherwise copy, reproduce, republish, distribute, modify, or create derivative works from the Site without our prior written permission.

Ownership of work product created during an engagement is governed by the signed agreement for that engagement, not by these Terms.

7. Acceptable use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Submit false, misleading, or impersonating information, or another person's information without their permission
• Submit unsolicited advertising, spam, or automated form submissions
• Attempt to gain unauthorized access to the Site, its servers, or related systems
• Introduce malware or interfere with the Site's operation, security, or availability
• Scrape, harvest, or systematically extract data from the Site without our written permission

8. Third-party links and services

The Site may link to or rely on third-party websites and services, including our hosting provider, form processor, and scheduling tools. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.

9. Availability

We may change, suspend, or discontinue any part of the Site at any time without notice. We do not promise that the Site will be uninterrupted, timely, secure, or error-free.

10. Disclaimer of warranties

The Site and all content on it are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Lithinos disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site's content is accurate, complete, current, or reliable.

11. Limitation of liability

To the fullest extent permitted by Florida law, Lithinos and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business opportunity, or lost or corrupted data, arising out of or relating to your use of the Site, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100.00). This limitation does not apply to liability that cannot be limited or excluded under applicable law, and it does not limit or modify the liability provisions of any signed services agreement between you and Lithinos.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lithinos and its officers, directors, employees, and contractors from any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to your use of the Site, your submissions, or your violation of these Terms or of any law or third-party right.

13. Governing law and venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

You and Lithinos agree that the exclusive venue for any such dispute is the state or federal courts located in Broward County, Florida, and each party consents to the personal jurisdiction of those courts and waives any objection based on inconvenient forum.

14. General

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will stay in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of our business. These Terms, together with our Privacy Policy, are the entire agreement between you and Lithinos regarding the Site, and supersede any prior understandings about the Site.

15. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Site after a revision means you accept the updated Terms.
